1. Who this agreement is with

These Terms govern your use of SupLoc (“SupLoc,” “we,” “us”). Notices to SupLoc under these Terms may be sent to support@suploc.shop.

2. What SupLoc is

SupLoc is a local product and store discovery service — it helps shoppers find products currently in stock at nearby physical stores. SupLoc is not a marketplace, a seller, a checkout provider, a payment processor, or a party to any transaction between a shopper and a merchant. When you buy something from a store you found through SupLoc, you are buying directly from that merchant, subject to that merchant's own terms, policies, and pricing.

Merchants remain solely responsible for their own products, pricing, availability, fulfillment, transactions, compliance with applicable law, and the accuracy of their store information. SupLoc reads product, inventory, and location information that a merchant has authorized through their connected Square account to operate search and store listings. Through SupLoc's current integration, SupLoc does not modify a merchant's products, prices, orders, or transactions.

Because listing information depends on a merchant's own point-of-sale data and on synchronization between that system and SupLoc, it may at times be incomplete, stale, delayed, or incorrect. Always confirm availability, pricing, and other details directly with the store before relying on them, especially before visiting for a specific item.

3. Shopper use

You do not need to create an account to search SupLoc or view store listings. Your use of SupLoc is subject to these Terms. Merchants are subject to a separate, explicit acceptance requirement, described in Section 4.

4. Merchant accounts and Square connection

  • A merchant account requires signing in (currently via Google) and connecting a supported point-of-sale provider. Square is the only supported provider today.
  • SupLoc requests read-only access to your Square catalog, inventory, and location data. SupLoc does not request permissions to modify your Square catalog or inventory, to modify orders, or to process payments.
  • An authenticated merchant must explicitly accept the current version of these Terms before connecting, syncing, or otherwise managing a store through SupLoc. If these Terms are updated to a new version, continuing to use merchant features requires accepting that new version.
  • New stores are reviewed by SupLoc before they are published to shoppers. Until a store is approved, it is not publicly visible — it does not appear in search and its public store and product pages are unavailable — although you can preview it privately from your dashboard. SupLoc may approve or decline a store for publication, and may later withdraw an approved store's public listing, including for the reasons described in Section 8. Approval is not an endorsement of your store and does not mean SupLoc has verified your store, product, pricing, or inventory information.

5. Merchant content and Square-authorized information

While your Square connection remains authorized and subject to these Terms, you grant SupLoc a non-exclusive right to:

  • access and store the product, inventory, and location information your Square connection authorizes SupLoc to read;
  • reproduce and publicly display that information on SupLoc — including product names, descriptions, categories, prices, images, availability or inventory indicators, and your store's name, address, contact details, and hours — so it can be shown to shoppers;
  • make the technical copies and format conversions reasonably necessary to store, index, search, and display that information through SupLoc; and
  • use your store name and identifying marks solely as reasonably necessary to identify and present your store's listing on SupLoc.

This right exists only to operate and present your store's listing on SupLoc — it is not a broader marketing or promotional license, and SupLoc does not use your content for any purpose unrelated to operating and promoting your presence on SupLoc. You retain all ownership of your products, content, and marks; connecting Square does not transfer any ownership to SupLoc. You represent that you have the authority to connect your Square account and to grant SupLoc the rights described in this section.

6. Merchant responsibilities

You are solely responsible for your products, pricing, availability, fulfillment, the transactions you make with shoppers, and compliance with applicable law. You are responsible for the accuracy of the information in your point-of-sale system and store listing — SupLoc displays what it reads from your connected Square account and does not independently verify it.

7. Disconnecting Square and what happens to your data

You may disconnect your Square connection from your SupLoc dashboard at any time. When Square authorization for your connection is definitively revoked or ended — whether because you disconnected, because you or Square revoked SupLoc's access directly through Square, or because Square otherwise confirms that access was revoked — SupLoc stops using that authorization and removes the Square-derived product, inventory, and location content associated with it.

To let an already-shared store link or QR code continue to work if you reconnect later, SupLoc may retain a stable, SupLoc-assigned store identifier for your location even after that removal; any Square-derived address, contact, and listing content tied to it is removed at that time, and the identifier itself carries no shopper-visible content until you reconnect.

A connection that simply requires reauthorization — for example, because access has expired or needs to be re-verified — is not treated as a revocation, and your listing content is not removed on that basis alone; you may simply reconnect. SupLoc may also retain operational, account, and legal records (such as sync history, Terms acceptance records, and account identifiers) for as long as reasonably necessary for service integrity, security, compliance with legal obligations, dispute resolution, fraud prevention, and enforcing these Terms, even after Square-derived content has been removed.

8. Suspension and restriction of access

SupLoc may suspend or restrict a merchant's visibility to shoppers or access to SupLoc where reasonably necessary — for example, in response to a violation of these Terms, unlawful, fraudulent, or abusive use, a security concern, an unauthorized or invalid Square connection, protecting shoppers or third parties, or a genuine operational need such as discontinuing the service. Where practical, SupLoc will try to let you know. Suspension under this section does not, by itself, revoke your Square authorization or remove your Square-derived content — see Section 7 for what happens when authorization actually ends.

9. Acceptable use

You agree not to use SupLoc to submit false or misleading store or product information, attempt to gain unauthorized access to another merchant's account or data, interfere with SupLoc's normal operation, or use SupLoc for any unlawful purpose.

10. Disclaimers

SupLoc is provided “as is” and “as available.” To the maximum extent permitted by applicable law, SupLoc disclaims all warranties, express or implied, and does not guarantee that merchant listings, prices, inventory, hours, directions, availability, or other information shown on SupLoc — whether from a merchant, a shopper, or a third-party service — will be complete, current, or error-free, or that the service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by applicable law: SupLoc will not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, SupLoc; and SupLoc's total liability for any claim arising from these Terms or your use of SupLoc will not exceed the greater of (a) the amounts you paid to SupLoc in the 12 months before the claim arose, or (b) $100. Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under applicable law.

12. Changes to these Terms

We may update these Terms from time to time. Each version is identified by the effective date shown at the top of this page. If you are a merchant, you must explicitly accept the current version — identified by that same effective date — before connecting, syncing, or otherwise managing a store through SupLoc, exactly as described in Section 4. As a shopper, your continued use of SupLoc after a change means the current Terms apply to your use going forward.

13. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise. Any dispute arising from these Terms or your use of SupLoc will be brought in the state or federal courts serving Riverside County, California, and you consent to the jurisdiction of those courts, subject to any mandatory applicable law that provides otherwise.
